Agreement to terms

These Terms of Service ("Terms") govern your access to and use of SpringWise (the "Service"). The Service is operated by Aurionis-Ventures LLC ("we", "us"). By using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Eligibility

You must be at least 18 years old to use SpringWise.

Accounts

• You are responsible for maintaining the confidentiality of your credentials.
• You agree to provide accurate information and keep it up to date.
• You are responsible for all activity that occurs under your account.

Service features

SpringWise provides household budgeting tools, account connectivity, and related insights. We may add, modify, or remove features to improve the Service.

Subscriptions and billing

• Paid plans require a recurring subscription.
• Subscriptions auto-renew until canceled. You can cancel at any time in your account settings.
• Payments are processed by third-party providers (such as Stripe). You authorize us to charge your payment method for fees and applicable taxes.
• Unless required by law, fees are non-refundable and there are no credits for partial periods.

Third-party services

The Service integrates with third-party providers like Plaid and Stripe. Your use of those services is subject to their terms and privacy policies. We are not responsible for third-party services.

Acceptable use

• Do not misuse the Service or attempt to access it in unauthorized ways.
• Do not interfere with or disrupt the Service or its security features.
• Do not reverse engineer or copy the Service except as permitted by law.

Intellectual property

The Service and its content are owned by Aurionis-Ventures LLC and its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes.

Feedback

If you provide feedback, you grant us the right to use it without restriction or compensation.

Disclaimers

SpringWise provides budgeting tools but does not provide financial, investment, or legal advice. The Service is provided "as is" without warranties of any kind.

Limitation of liability

To the maximum extent permitted by law, Aurionis-Ventures LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability is limited to the amount you paid for the Service in the 12 months before the claim.

Indemnification

You agree to indemnify and hold Aurionis-Ventures LLC harmless from claims arising out of your use of the Service or violation of these Terms.

Termination

We may suspend or terminate your access to the Service if you violate these Terms or if required by law. You may stop using the Service at any time.

Governing law

These Terms are governed by the laws of Delaware, United States.
